Compliance Review Board

A Compliance Review Board (CRB) has been established within Siemens EES to address compliance issues within the company, and those addressed to the company by customers, suppliers and business partners. The members of the CRB comprise of senior personnel of Siemens EES who review the compliance program activities and assist with their implementation, in addition to advising on the handling of anti-corruption issues.

The compliance review board is comprised of the below members:

Chief Executive Officer (CEO

Chief Financial Officer (CFO)

Regional Compliance Officer (RCO)

Business Divisions Managers

Business Divisions Commercial Managers

Human Resources Manager (HR)

Procurement Manager

Heads of Accounting & Controlling

SOA Officer (Sarbanes-Oxley Act)

Risk & Internal Controls Officer

Purpose

The purpose of the board is to:

Review and monitor the status of the Anti-Corruption Remediation Project.

Oversee the policies, procedures and guidelines to ensure compliance with relevant laws and Siemens Business Conduct Guidelines.

Oversee any other compliance related topics.

Meetings

The board meets every month to handle Compliance issues, find solutions to compliance-related problems and implement required actions decided upon unanimously in the meetings.

An agenda is sent to participants in advance by the RCO. Minutes of meeting, with an action plan where necessary, are prepared and distributed to the participants within one week, and later filed by the RCO for record.
